Upon full payment, all custom code and deliverables created for your project become your property. We
retain rights to general methodologies and pre-existing tools.
4. Confidentiality
We treat all client information as confidential. We will not share your business information, code, or
data with third parties without your consent.
5. Payment Terms
Payment terms are outlined in individual project agreements. Late payments may result in project delays
or suspension.
6. Limitation of Liability
Our liability is limited to the total amount paid for services. We are not liable for indirect,
incidental, or consequential damages.
7. Termination
Either party may terminate with 14 days written notice. Payment is due for all work completed up to
termination date.

Refund Policy
1. General Policy
All payments made to KernelTheory are non-refundable unless explicitly stated otherwise
in a signed project agreement.
2. Discovery & Consultation
Initial discovery calls are complimentary. Once paid work commences, no refunds apply.
3. Milestone-Based Projects
Payment for each milestone is due upon delivery. Once a milestone is approved, it is considered final and
non-refundable.
4. Scope Changes
Revisions are limited to the scope defined in the project agreement. Requests outside the original scope
constitute new work and will be billed separately.
5. Project Cancellation
If you cancel a project mid-engagement, all payments made for completed and in-progress work are
non-refundable.
6. Disputes
All disputes must be raised in writing within 7 days of deliverable receipt. Resolution is at
KernelTheory's sole discretion.
